Robert’s practice focuses on outsourced general counsel services, with an emphasis on equity and debt financings, public and private mergers and acquisitions, sales and divestitures, company formation and representation, venture fund formation and representation, corporate governance and strategic business counseling, commercial agreements, SEC periodic reporting, and representation of closely-held businesses, including partnerships, sole proprietorships and limited liability companies. Robert has represented a wide variety of companies ranging from start-ups to Fortune 500 public companies in various industries ranging from technology to real estate.

Prior to joining Fortis General Counsel, Robert developed a general corporate and finance practice at the law firms of Brobeck, Phleger & Harrison LLP, Morgan Lewis & Bockius LLP and Sidley Austin LLP.

At the Palo Alto office of Brobeck, and then the San Francisco and Palo Alto offices of Morgan Lewis, Robert handled all matters of corporate and business representation for companies ranging from start-ups to public companies, venture capital firms, private equity firms and investment banks. Robert’s practice included equity financings and offerings, debt financings and offerings, underwriting activities, securities matters, M&A, commercial agreements, strategic business counseling, and other general corporate activities.

At the San Francisco office of Sidley Austin, Robert handled various financing transactions representing issuers, underwriters and secured lenders with asset-backed securitizations, structured financings, finance restructurings and credit/debt facility arrangements. Robert advised such clients on commercial and regulatory aspects involving corporate and securities laws, uniform commercial code and creditor’s rights.

Robert also has in-house counsel experience by serving as Assistant General Counsel for a private equity real estate investment firm, where he was engaged with investment fund formations, financing arrangements, fundraising, investor relations and advising the senior executives and management on operational, partnership, securities and strategic business matters.

Robert also takes pride in being involved with the community. Robert is currently serving as Vice-Chair of the Board of Directors for the non-profit organization, The Headlands Institute, located in Sausalito, California.
